SUPPLEMENTAL TERMS OF USE

Welcome to the GridPoint Dealer Portal at www.gridpoint.com/dealer (the “Dealer Site”) provided by GridPoint, Inc. (“GridPoint”). These Supplemental Terms of Use together with the GridPoint.com Terms of Use govern your use of the Dealer Site, and by accessing or using the Dealer Site you agree to their terms and conditions and to the information practices disclosed in our Privacy Policy. If you do not agree to these terms, do not use the Dealer Site. Please note that we may update these Supplemental Terms of Use at any time at our sole discretion. Capitalized terms not defined in these Supplemental Terms of Use have the meaning ascribed to them in the Terms of Use.

Information on the Dealer Site

The Dealer Site and the Content on it are provided to you without charge as a convenience and for your information only. Under no circumstances will we or our affiliates be liable for any loss or damage caused by your reliance on information obtained on or through the Dealer Site. It is your responsibility to evaluate the accuracy, completeness, or usefulness of any information, opinion, advice, or other Content available on or through the Web Site. Under no circumstances will GridPoint be liable for any loss or damage caused by your reliance on information obtained on or through the Web Site.

Non-Public Information

You acknowledge and agree that the Content provided through the Dealer Site is specific to GridPoint dealers and therefore may be of a non-public and/or confidential nature. As such, except for product-specific information that may be disclosed to prospective customers, you shall not disclose the Content to any third party without our express written consent and will at all times handle Content with at least reasonable care.

Your Account and Password

The Dealer Site is meant solely for use by GridPoint dealers. You have been provided with a user name and password for access, and you may have the ability to create additional user names and passwords for authorized employees. You are responsible for maintaining the strict confidentiality of that information. You are also responsible for any activity conducted under your account. You agree to: (a) immediately notify GridPoint of any unauthorized use of your password or account or any other breach of the Dealer Site’s security; and (b) ensure that you log-off and exit from your account at the end of each session. It is your sole responsibility to control the dissemination and use of your password(s), and control access to and use of your account. It is also your sole responsibility to notify GridPoint if you desire to cancel your account on the Dealer Site. If any of your authorized employees having a Dealer Site user name and password ceases to be your employee, you must immediately cease use of that user name and password and alert GridPoint in order that the applicable password and, if we determine, user name, may be changed. GRIDPOINT WILL NOT BE RESPONSIBLE OR LIABLE FOR ANY LOSS OR DAMAGE ARISING FROM YOUR FAILURE TO COMPLY WITH THIS PROVISION.
